Terms and Conditions

These Terms apply to everyone who visits allvio.com.au, creates an account, subscribes to the platform, orders hardware through our website, or purchases any other services from us. By using our website or completing any purchase or registration, you agree to these Terms. If you are acting on behalf of a business, you confirm you have authority to bind that business.

1. About us

allvio is operated by Altren Group Pty Ltd ABN 32 700 087 332, a Melbourne-based technology company. "Allvio", "we", "us" and "our" mean Altren Group Pty Ltd trading as Allvio. 2. What these Terms cover

These Terms govern your use of our website and related subdomains; the allvio software platform and all its modules (POS, Online Ordering, Reservations, Finance, Analytics, HR & Payroll and others released over time); hardware and equipment purchased or financed through our website; and any other services ordered through our website or online portal, including managed services, connectivity and professional services. Please read them carefully: if you do not agree, you must not use our website or services.

3. How you accept these Terms

You accept these Terms by browsing or using our website; creating an account or starting a free trial; clicking "I agree", "Continue", "Subscribe" or similar; placing an order for hardware, a subscription or any other service; or using the platform after an updated version of these Terms has been published. Acceptance is effective from the moment you take one of these actions, with no paper signature required. If you accept on behalf of a company, you represent that you have authority to do so.

4. Your account

4.1 Registration: you agree to provide accurate, current and complete information when registering and to keep it up to date.

4.2 Account security: you are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at support@allvio.com.au if you believe your account is compromised. We are not liable for loss arising from unauthorised use where you have not taken reasonable precautions.

4.3 Business accounts: if you register on behalf of a business, you are the account owner, responsible for managing your team's access and liable for the actions of all users on your account.

4.4 Suspension or termination: we may suspend or close your account for breach of these Terms, outstanding unpaid amounts, or where we believe your use poses a risk to us or other users, with reasonable notice where practicable except in cases of serious breach or fraud.

5. Free trial

We may offer a free trial with full access to the platform for one business location. No credit card is required. The trial ends automatically at the end of the trial period and we will not charge you unless you subscribe. The platform is provided during a trial on an "as is" basis, with no uptime guarantee or service level commitment, and we may end a trial early at any time without notice. If you do not start a paid subscription before the trial ends, your account and data are suspended for 30 days and then permanently deleted.

5.5 Feedback and reference: because the trial is free, by starting one you agree to take part in at least one feedback session (video call, phone or written survey) within 90 days of starting your trial or 60 days of starting a paid subscription, whichever comes first, and to allow us to mention your business by name and type (for example, "a Melbourne café") in our marketing, website, and sales and investor materials. If we want to quote you directly, use your logo, or publish a case study naming you, we will always ask for your approval first. If you have a genuine reason you cannot be identified publicly, tell us and we will work something out. We will never ask you to say something positive you don't mean, and nothing here stops you sharing your genuine opinion of allvio anywhere you choose.

6. Subscriptions

6.1 What you get: access to the platform and all its modules for the locations on your account. New modules are included as they're released, at no extra charge.

6.2 Plans: monthly and annual plans, priced at allvio.com.au/pricing and set out in your order confirmation, in Australian dollars, exclusive of GST.

6.3 Billing: fees are billed at the start of each billing period; you authorise us to charge your nominated payment method automatically. If payment remains outstanding for more than 7 days after a failed attempt and retry, we may suspend your access.

6.4 Annual plans: paid upfront at a discounted rate and renew automatically. Cancel at least 30 days before the renewal date to avoid renewal.

6.5 Cancellation: cancel any time from your account settings. Monthly plans end at the close of the current billing period with no refund for remaining days. Annual plans cancelled within 30 days of renewal receive a pro-rata refund for unused full months in the renewed term.

6.6 Price changes: we may change subscription prices with at least 30 days' email notice. If you don't agree, you may cancel before the change takes effect; continuing to use the service after that means you accept the new price.

7. Hardware and equipment

7.1 Ordering: POS terminals, tablets, printers and accessories can be ordered through our website at the price shown at checkout, in AUD, exclusive of GST.

7.2 How we supply hardware: outright purchase (you own it from delivery and full payment); instalment plan over 12, 24 or 36 months (we retain ownership until all instalments are paid); or subsidised/included supply (the hardware remains our property and must be returned if your account closes).

7.3 Delivery: estimated timeframes are not guaranteed; risk of loss or damage passes to you on delivery.

7.4 Hardware and your subscription are separate commitments. Cancelling your subscription does not end a hardware instalment obligation. If you close your account on an instalment plan, you must return the hardware within 14 days in good working order, or pay the remaining instalments in full within 14 days.

7.5 Subsidised hardware remains our property and must be returned within 14 days of account closure in good working order, or we may charge the current replacement value.

7.6 Warranty: covered by the manufacturer's warranty, and your Australian Consumer Law rights are unaffected by these Terms.

8. Other services

Additional services such as internet connectivity or other managed services are separate from your software subscription and described in a service schedule at purchase. Some have a minimum commitment period; if your account closes, those services terminate on the same date and you remain responsible for fees for the unexpired minimum term. Prices for other services may change with at least 30 days' written notice.

9. Professional services

Implementation, training, data migration and similar services are quoted separately, in AUD, exclusive of GST, and begin only when you accept the quote. Our liability for professional services is limited in the same way as our general liability under these Terms; time and completion estimates are indicative only.

10. Payments and GST

All prices are in AUD, exclusive of GST unless stated otherwise; GST is added at checkout where applicable and a valid tax invoice issued for each charge. Payments are processed securely by our payment provider; we do not store full card details. Disputed charges should be raised at support@allvio.com.au within 30 days.

11. Acceptable use

You must not use the platform for illegal activity including fraud or money laundering; attempt unauthorised access to our systems or another user's account; reverse engineer or extract the platform's source code; send spam in breach of the Spam Act 2003 (Cth); upload defamatory, offensive or rights-infringing content; introduce malware or malicious code; resell access without our written permission; or use automated tools to scrape data other than through our authorised API. We may suspend or terminate your account for breach of these rules.

12. Your data

12.1 Ownership: you own your data; we claim no ownership over what you put into the platform.

12.2 How we use it: only to provide and improve our services to you. We will not sell your data or use it to train AI models without your explicit consent. See our Privacy Policy for full detail.

12.3 Security: reasonable technical and organisational measures including encryption in transit and at rest and role-based access controls. No system is completely secure, but we are committed to protecting your information.

12.4 Exporting: you can export your data at any time using the built-in tools; we will not unreasonably restrict this.

12.5 When you leave: we keep your data for 90 days after account closure, during which you can request an export at support@allvio.com.au; after that we permanently delete it unless required by law to keep it longer.

12.6 Data breaches: if a breach is likely to cause you serious harm, we will notify you as soon as reasonably practicable and within 72 hours, and comply with the Notifiable Data Breaches scheme.

13. Intellectual property

We own all intellectual property in the allvio platform, website, software and related materials; these Terms transfer no ownership to you, only a limited, non-exclusive, non-transferable right to use the platform for your own business while your subscription is active. You own the intellectual property in your own data and content, and by using the platform you permit us to use your data to the extent necessary to provide the service. The allvio name, logo and brand are our trademarks and may not be used without written permission.

14. Platform availability

We aim for 99.5% monthly availability for paying subscribers, measured from our monitoring systems (availability during free trials and beta features is not guaranteed). We give at least 48 hours' notice of planned maintenance, typically overnight on weeknights (11pm to 5am AEST), which doesn't count toward downtime. If we miss our target in a given month, you may be eligible for a service credit: 5% for 99.0% to 99.49% availability, 10% for 98.0% to 98.99%, 20% for 95.0% to 97.99%, 30% below 95.0%. Claim within 14 days of month end at support@allvio.com.au; credits apply to your next invoice and cannot be redeemed for cash. The commitment doesn't cover downtime from causes outside our control, including your own internet, third-party failures, your misconfiguration, planned maintenance, or an overdue account balance.

15. Support

Paying subscribers can reach us via live chat in the platform (9am to 6pm AEST, Monday to Friday, excluding Victorian public holidays), email at support@allvio.com.au, or the help centre at help.allvio.com.au (24/7). For critical issues where you cannot access the core platform, we aim to acknowledge within 4 hours during business hours and 8 hours outside them. Trial support is available via email and the help centre; live chat is not guaranteed during trials.

16. Beta features

New features may be released in beta, clearly labelled, provided as-is with no uptime guarantee or service credit entitlement. We may change or remove a beta feature at any time, with at least 14 days' notice where possible.

17. Third-party services and integrations

The platform may connect with third-party services including payment processors, banking feeds and delivery platforms. We are not responsible for their availability or performance, and your use of them is subject to their own terms. If a provider we rely on changes or discontinues its service, we will give reasonable notice and work to find an alternative.

18. Disclaimers

The platform's finance, GST and reporting features are tools to help manage your records, not accounting, tax or legal advice, so seek independent professional advice for your circumstances. To the extent permitted by law, we provide the platform "as is" with no warranties beyond those expressly stated here, and don't warrant it will be error-free or uninterrupted. Nothing here excludes rights under the Australian Consumer Law that cannot be excluded by agreement.

19. Our liability to you

To the maximum extent permitted by law, our total liability to you for any claim under these Terms is limited to the fees you paid us in the 12 months before the claim arose. We are not liable for loss of profit, revenue, data or business opportunity, or any indirect or consequential loss, even if we knew it was possible. We cannot limit liability for personal injury or death caused by our negligence, fraud, wilful misconduct, or anything that cannot be excluded under the Australian Consumer Law.

20. Changes to these Terms

We may update these Terms; for a material change we will email you at least 30 days before it takes effect and post the update at allvio.com.au/terms with the new effective date. Continuing to use the platform after that means you accept them; if you disagree, you may cancel before the change takes effect.

21. Ending your account

You can close your account any time from account settings or by emailing support@allvio.com.au. We may close your account for uncured material breach after 30 days' notice, insolvency, or reasonably suspected fraud or illegal activity, immediately in serious cases. On closure: platform access stops; hardware instalment or minimum-term commitments remain in force and must be settled; other services terminate automatically and you remain liable for fees on any unexpired minimum term; we keep your data for 90 days then delete it; and any fees owed at closure remain payable.

22. Governing law and disputes

These Terms are governed by the laws of Victoria, Australia. Please contact us first at support@allvio.com.au to resolve a dispute informally; if unresolved within 30 days, either party may refer it to mediation before court proceedings. The courts of Victoria have exclusive jurisdiction.

23. General

23.1 Entire agreement: these Terms, our Privacy Policy, order confirmations and any service schedules form the complete agreement, replacing earlier understandings.

23.2 No waiver: not enforcing a right doesn't waive it; any waiver must be in writing.

23.3 Severability: an invalid or unenforceable part is modified to the minimum extent necessary, or removed if that's not possible, with the rest continuing to apply.

23.4 Assignment: you may not transfer your account or rights without our written consent; we may transfer our rights and obligations as part of a sale or restructure, with notice to you.

23.5 Force majeure: we are not liable for failing to perform where prevented by circumstances outside our reasonable control (natural disasters, pandemics, internet outages, acts of government), and will notify you promptly and work to resume service. If disruption continues beyond 30 days, either party may cancel the affected service with a pro-rata refund of prepaid amounts.
